1. Acceptance of Terms
Welcome to The Coordinators. By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and The Coordinators ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.
2. Description of Services
The Coordinators provides remote healthcare administrative support services, including but not limited to:
- Patient communication and scheduling
- Insurance verification and authorization
- Pre-authorization processing
- Prescription coordination
- Referral management and follow-ups
- General administrative support
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.
3. Eligibility and Account Registration
3.1 Eligibility
Our services are intended for licensed healthcare providers and healthcare organizations. By using our services, you represent that you are authorized to enter into this agreement on behalf of your practice or organization.
3.2 Account Registration
To use our services, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your account information remains current and accurate
4. Client Responsibilities
As a client of our services, you agree to:
- Provide necessary training materials and access to required systems
- Maintain appropriate licenses and credentials for your practice
- Comply with all applicable healthcare laws and regulations
- Provide timely feedback and communication to our coordinators
- Execute a Business Associate Agreement (BAA) if applicable
- Use our services only for lawful purposes
- Not attempt to gain unauthorized access to our systems
5. Fees and Payment
5.1 Service Fees
Fees for our services are as specified in your service agreement. All fees are exclusive of applicable taxes, which you are responsible for paying.
5.2 Payment Terms
- Payment is due according to the schedule specified in your agreement
- Late payments may incur additional fees and service suspension
- You authorize us to charge your designated payment method
- All fees are non-refundable except as expressly stated in your agreement
5.3 Free Trial
If you sign up for a free trial, you will not be charged until the trial period ends. You may cancel at any time during the trial period without charge. After the trial, you will be automatically enrolled in a paid subscription unless you cancel.
6. HIPAA Compliance and Data Protection
6.1 Business Associate Agreement
For services involving Protected Health Information (PHI), we will execute a Business Associate Agreement (BAA) with you prior to accessing any PHI.
6.2 Data Security
We implement appropriate administrative, physical, and technical safeguards to protect your data, including:
- Encryption of data in transit and at rest
- Regular security assessments and audits
- Staff training on HIPAA compliance
- Secure access controls and monitoring
6.3 Breach Notification
In the event of a security breach affecting PHI, we will notify you in accordance with HIPAA breach notification requirements.
7. Intellectual Property
7.1 Our Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by The Coordinators and are protected by intellectual property laws.
7.2 Your Property
You retain all rights to your data and information. By using our services, you grant us a limited license to access and use your data solely to provide the services.
7.3 Restrictions
You may not:
- Copy, modify, or create derivative works of our services
- Reverse engineer or attempt to extract source code
- Remove or alter any proprietary notices
- Use our services to develop competing products
8. Service Level and Support
8.1 Availability
We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects service availability.
8.2 Support
Support is provided during regular business hours via email and phone. Emergency support may be available as specified in your service agreement.
9. Termination
9.1 Termination by You
You may terminate your account at any time by providing written notice. Termination will be effective at the end of your current billing period.
9.2 Termination by Us
We may suspend or terminate your access to our services if:
- You breach these Terms
- You fail to pay fees when due
- Your use poses a security risk
- We are required to do so by law
9.3 Effect of Termination
Upon termination:
- Your access to the services will cease
- You must pay all outstanding fees
- We will return or destroy your data as specified in your agreement
- Provisions that by their nature should survive will continue to apply
10. Disclaimers and Limitations of Liability
10.1 Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10.3 No Medical Advice
We provide administrative support services only. We do not provide medical advice, diagnosis, or treatment. All medical decisions remain the responsibility of licensed healthcare providers.
11. Indemnification
You agree to indemnify and hold harmless The Coordinators from any claims, damages, losses, and expenses arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of applicable laws or regulations
12. Dispute Resolution
12.1 Informal Resolution
If a dispute arises, we encourage you to contact us first to seek an informal resolution.
12.2 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12.3 Class Action Waiver
You agree to bring claims only in your individual capacity and not as part of any class or representative action.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
14. General Provisions
14.1 Entire Agreement
These Terms, along with your service agreement and BAA, constitute the entire agreement between you and The Coordinators.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
14.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
